Sola Mabadeje

Sola Mabadeje was appointed Chairman of the Association of Bank Legal Advisers and Company Secretaries in June 2022. She is currently the Head, Legal and Company Secretary for Standard Chartered Bank Nigeria Limited and is responsible for the Legal function of Standard Chartered Bank in West Africa.
She is a seasoned legal professional with over 21 years’ experience in corporate and commercial law. She has advised financial institutions and large corporations on complex legal matters, capital market transactions and corporate governance issues. Her career within the financial services industry started in 2002 when she joined Ecobank Nigeria Limited as Legal Officer. She later moved to Standard Chartered Bank Nigeria Limited in March 2009, where she rose to deputise for and acted as Head, Legal and Company Secretariat before her departure in April 2014. From May 2014 to November 2017, Sola was a Corporate Governance Executive at Old Mutual Nigeria and led the Legal, Compliance and Company Secretarial teams.
Sola holds a Law degree from the University of Buckingham, a Master’s degree from the University of London and is called to the Nigerian Bar. She is an Associate of the Institute of Chartered Secretaries and Administrators and an Honorary Senior Member of the Chartered Institute of Bankers of Nigeria.

Jennifer Martins-Okundia

Jennifer has a first degree in Law and was admitted to the Nigerian Bar in 2007. She also holds a master’s degree in Banking & Finance Law, with Distinction from Queen Mary, University of London.
Prior to joining Rand Merchant Bank Nigeria Limited as General Counsel, Jennifer had an extensive 12 year career practicing law in the leading Nigerian corporate/commercial law firms of Perchstone & Graeys and Aluko & Oyebode, where until she made a decision to join Rand Merchant Bank Nigeria Limited, she was a Senior Associate with principal responsibility for providing advice on debt and equity capital market transactions, mergers & acquisitions, divestitures, corporate restructurings, banking and regulatory compliance, etc. for the firm’s clients. She was a core member of the firm’s Capital Markets and M&A practice groups and over the years, has advised on a significant number of complex commercial transactions.
She is currently the Vice Chairman of the Association of Banks' Legal Advisers and Company Secretaries.
Tolulope Adetugbo is a seasoned legal adviser and corporate governance
professional with over 18 years of experience. She currently serves as the Group
Company Secretary and Head of Legal at FBNQuest Merchant Bank, one of the
foremost investment banks in Nigeria.
Prior to assuming the role as Company Secretary, she functioned as a Senior
Legal Adviser within the FBNQuest roup with the primary responsibility for
overseeing the legal aspects of the investment banking and alternative
investments businesses. Speci*cally, she specialized in project & structured
*nancing, debt & equity capital markets, corporate & commercial laws, securities
laws, M&As and governance. She also served as the Group Company Secretary.
In the course of her career, Tolulope has also served as Legal Counsel, as well as
Company Secretary & Legal Adviser at Asset & Resource Management Holding
Company Limited and Fountainhead Media Group Limited, respectively. In these
roles, she gained extensive knowledge of infrastructure *nancing, real estate
development, media & entertainment as well as managing start up entities.
Tolulope holds a *rst degree in Law from the University of Lagos, and a
postgraduate degree (with distinction) in International Economic Law from the
University of Warwick. She is a student member of the Institute of Chartered
Secretaries and Administrators, United Kingdom and has attended several legal
and management training courses and seminars both locally and internationally.

Stanley Ubani
Assistant Secretary
Mr Stanley Ubani graduated with a Second-Class Upper in Law (LL.B) from the Abia State University in 1996 and a Second-Class Upper from the Nigeria Law School in 1997. He was called to the Nigerian Bar in 1998.
He is a Chartered Secretary and Administrator, a holder of a postgraduate Diploma in International Dispute Resolution and an LL.M Degree in International Commercial Law from the University of London. He is also an Alumni of Lagos Business School.
Mr Ubani has over 20 years of banking industry experience with core competencies in Legal Advisory, Dispute Management, Credit Documentation and Control, Insolvency Practice, Company Secretarial Services and Corporate Governance.
He was the Head, Legal Services Division in Keystone Bank Limited for about seven years before his appointment as the Company Secretary/Legal Adviser of Coronation Merchant Bank Limited. He is the current Assistant Secretary of the Association of Banks Company Secretary and Legal Adviser (ABLACS).
